The following terms and conditions shall apply to the Calling Out For The Next New open days hosted by Lane Crawford (Hong Kong) Limited at One Island South, 2 Heung Yip Road, Wong Chuk Hang Hong Kong on 5th May, 2015 and Lane Crawford (Shanghai) Limited at Times Square, Shanghai on 7th May, 2015 (individually and together referred to as “Lane Crawford”). By registering for the Calling Out For The Next New open days Participants agree to the following terms and conditions:

1. Participation is on a first come first served basis and subject to a maximum number of participants which shall be set in Lane Crawford’s sole discretion;
2. Participants must present all the required criteria for registration: incomplete or inaccurate registrations and /or may be rejected by Lane Crawford in its sole discretion;
3. Participants must register at callout@lanecrawford.com (for Hong Kong/International) / callout@lanecrawford.com.cn (for China) for a time slot for an Interview by 28th April, 2015. If a Participant does not present at the open day their time slot will be given to the next waiting Participant.
4. Each Participant will be interviewed by Lane Crawford’s team for a minimum period of 10 minutes and may be recalled for further interview.
5. Following the interview process Lane Crawford will select a finalists from the Participants whose products and designs will be promoted in Lane Crawford stores and potentially its websites (timing and program determined by Lane Crawford) (the “Promotion”). The decision in respect of the finalists shall be made by Lane Crawford within its sole discretion and shall be final.

The Participant represents and warrants:

1. It is a Company duly incorporated or established and validly existing under the laws of its place or incorporation and has been trading for not less than ten years;
2. It has all license, permits and consents to carry out its business in connection with the Products and/or Designs (the “Works”) presented to Lane Crawford;
3. It has the capacity and has obtained the authorization to enter into and perform the obligations under this Agreement;
4. The execution and performance of this Agreement will not violate any applicable laws or regulations or infringe any third party rights;
5. The Participant has full unencumbered title to the Works.

The Participant represents and warrants:

1. He/she is the creator of the Product and/or Designs (the “Works”) presented to Lane Crawford and he/she originally created the Works and they will not infringe the intellectual property rights of any third party;
2. He/she has the right to work legally in the location of production and presentation of the Works;
3. The performance of this Agreement by the Participant will not violate any applicable laws or regulations or infringe any third party rights;
4. He/she has full unencumbered title to the Works.

1. no person under the age of 16 years has been involved in any capacity (whether paid or unpaid) in the creation manufacture, packaging, distribution or supply of the Works;
2. no person under the age of 18 years has worked at night or carried out activities that are potentially hazardous or injurious to their health and development in connection with production of the Works;
3. the design, construction and quality of the Works complies in all respects with any statutory rule or regulation in force of the time of presentation and with all applicable safety standards (including without limitation food hygiene and CITES regulations);
4. the Works are fit and suitable for the purpose intended, of satisfactory quality and of good material and workmanship;
5. the Works are safe and without risk to health when properly used and provided with all necessary information and instructions in connection with the design, testing and safe use of the Works (whether or not such information has been requested by Lane Crawford);
6. the Works are not perishable and do not require refrigeration or cooking.

Nothing in this Agreement shall create a joint venture or partnership between the parties or render the Participant an officer, employee, worker, agent or partner of Lane Crawford. The Participant may not hold itself out as a supplier of services to Lane Crawford to any third party for any purpose whatsoever, during the Term or upon termination of this Agreement without prior agreement of Lane Crawford in writing.

The Participant agrees to grant the Lane Crawford permission to use the Participant’s name and images and images of the Works (the ”Images”) for any of its commercial or non-commercial purposes in any media on a worldwide basis, including, without limitation, in the Lane Crawford's , in store signage, visual merchandising, press coverage, printed publications, presentations, promotional materials, in the Company’s advertising or on the Company's website or social media platforms or outdoor advertising (the “Specified Purposes”) in their original format or edited or altered in any way which Lane Crawford deems appropriate for the purposes of promoting the Calling Out For The Next New, the Campaign and the Works and agrees that the Images be may be retained on Lane Crawford’s archives after the Term any may be used by Lane Crawford in the future without any further consent or licence of the Participant.

The Participant agrees to Lane Crawford storing copies of the Images for the Specified Purposes and transferring or disclosing the Images to a third party service provider engaged by Lane Crawford in order to fulfill the Specified Purposes.

To the extent that the Participant’s name and the Images constitute “personal data” under applicable data privacy law, the collection, use, storage and disclosure of the Participant’s name and the Images are subject to Lane Crawford’s Privacy Policy on www.lanecrawford.com/privacy.

In the above, “Lane Crawford” means LCJG Limited and its related companies (including its subsidiaries and affiliates).

This Agreement shall commence from registration on callout@lanecrawford.com / (for Hong Kong/International) / callout@lanecrawford.com.cn (for China) for an Interview by the Participant and end on the final day of the Promotion.

This Agreement shall be governed the laws of Hong Kong (SAR) and shall be subject to the non-exclusive jurisdiction of the Hong Kong Courts except where both entities entering the Agreement are Chinese entities where the Agreement shall be governed by the laws of the Peoples of the Republic of China (“PRC”) and shall be subject to the jurisdiction the Courts of the PRC.
